Role: Junior Attorney

Location: Bangalore- ITPL Whitefield

Responsibilities

  • Analyze and Summarize customer contracts uploaded to Applieds iCertis contract lifecycle management system (ACE), particularly legal provisions viz. warranties, indemnities, liabilities, dispute resolution, governing law, etc., and update the iCertis contract lifecycle management system with such summarized information and relevant metadata.
  • Review and approve Renewals and Amendments of Service contracts to support our customer facing sales organization.
  • Prepare, proofread, review and negotiate Non-Disclosure Agreements (NDA”), to ensure accuracy, conformance to standard legal norms, consistency between clauses and/or provisions, including, as necessary, drafting and negotiating NDAs and NDA amendments with outside parties.
  • Assist in overseeing the NDA SharePoint and iCertis database management activities. Including summarizing contract provisions into the iCertis contract lifecycle management system and ensure all required information is loaded:
    • perform administrative functions for NDA SharePoint including evaluate SharePoint NDA intake forms received from business stakeholders for completeness and accuracy.
    • perform administrative functions for iCertis contract lifecycle management system (ACE), including assisting global commercial / BU attorneys in creation of agreements, uploading and summarization of signed agreements, preparing reports and following up to obtain draft/signed contracts.

Qualifications

  • 1-5 years of legal experience, reviewing and handling commercial agreements and NDAs.
  • Prior experience with contract management databases (preferably iCertis) – an advantage.
  • Exceptional attention to detail, proactive, independent and strong organizational skills
  • Excellent grammar, comprehension, and communication
  • Proficient with MS Word, Excel, Outlook, SharePoint, Teams, Adobe Acrobat
  • Excellent interpersonal skills to interface with clients, attorneys, and staff.
